1.    User Consent to Terms of Use.  You represent that you have read and agree to be bound by these Terms.  You further agree: (i) to obey U.S. law, and any applicable domestic or international laws, regarding the transmission of any data obtained from the Site (as defined herein) in accordance with the Terms, (ii) not to use the Site for illegal purposes, and (iii) not to interfere or disrupt networks connected to the Site.

2.    Ownership and Intellectual Property.   This Site is owned and operated by R-128 Sports, Inc. (the “Owner”) and is protected by copyrights, trademarks, service marks, international treaties and/or other proprietary rights and laws of the U.S. The Site is also protected as a collective work or compilation under U.S. copyright and other laws and treaties. All individual articles, columns and other elements making up the Site are also copyrighted works. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in the Site.

3.    Restrictions on Use.   You may not use the Site for any illegal purpose or in any conduct inconsistent with the Terms. You agree to use the Site solely for your personal, noncommercial use and benefit, and not for resale or other transfer or disposition to, or use by or for the benefit of, any other person or entity. You agree not to use, transfer, distribute or dispose of any information contained in the Site in any way that could compete with the business of maxyourgame.com. You acknowledge that the Site has been developed, compiled, prepared, revised, selected and arranged by the Owner and others (including certain other information sources) through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort and money and constitutes valuable intellectual property and trade secrets of the Owner and such others. You agree to protect the proprietary rights of the Owner and all others having rights in the Site and to comply with all reasonable written requests made by the Owner or its suppliers of content, equipment or otherwise ("Suppliers") to protect theirs and others' contractual, statutory and common law rights. You agree to notify maxyourgame.com or the Owner in writing promptly upon becoming aware of any unauthorized access or use of the Site by any party or of any claim that the Site infringes upon any copyright, trademark or other contractual, statutory or common law rights. You will not copy or distribute any part of the Site in any medium without the Owner’s prior written authorization. You will not alter or modify any part of the Site other than as may be reasonably necessary to use the Site for its intended purpose.

4.    Prohibited Conduct.  You agree that you will not use the Site to:

a.    Upload, post, email, otherwise transmit, or post links to any content, or select any member or user name or email address, that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, invasive of privacy or publicity rights, hateful, or racially, sexually, ethnically or otherwise objectionable.

b.    Upload, post, email, otherwise transmit, or post links to any content that promotes illegal activity, including without limitation the provision of instructions for illegal activity.

c.    Upload, post, email, otherwise transmit, or post links to any content that exploits the images of children under 18 years of age, or that discloses personally identifying information belonging to children under 18 years of age.

d.    Harm minors in any other way.

e.    Make any sexual request on behalf of a minor or make any sexual request of a minor.

f.    "Stalk" or otherwise harass another.

g.    Collect or store personally identifying information about other users for commercial or unlawful purposes.

h.    Impersonate any person or entity, including, but not limited to, the Owner, an employee of the Owner, a forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity.

i.    Employ misleading email addresses or falsify information in the header, footer, return path, or any part of any communication, including emails, transmitted through the Site.

j.    Upload, post, email, otherwise transmit, or post links to any content that you do not have a right to transmit under any law or regulation or under contractual or fiduciary relationships (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).

k.    Upload, post, email, or otherwise transmit, or post links to any content that facilitates hacking.

l.    Upload, post, email, otherwise transmit, or post links to any content that infringes any patent, trademark, Site mark, trade secret, copyright or other proprietary rights (the "Rights") of any party, or contributing to inducing or facilitating such infringement. This prohibition shall include, without limitation, the following forms of software piracy:
i.    Making available copyrighted software or other content that has had the copyright protection removed.
ii.    Making available serial numbers for software that can be used to illegally validate or register software.
iii.    Making available tools that can be used for no purpose other than for "cracking" software or other copyrighted content.
iv.    Making available any software files for which the user does not own the copyright or have the legal right to make available.

m.    Upload, post, email, otherwise transmit, or post links to any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas that are designated for such purpose.

n.    Upload, post, email, otherwise transmit, or post links to any material that contains software viruses, worms, trojan horses, time bombs, trap doors or any other computer code, files or programs or repetitive requests for information designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or to diminish the quality of, interfere with the performance of, or impair the functionality of the Site.

o.    Use automated means, including additional computers, software and scripts, to enhance play in the Site’s games and promotions.

p.    Use automated means, including spiders, robots, crawlers, or the like to download data from the Site or to access the Site in a manner that sends more request messages to the maxyourgame.com servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser.  Notwithstanding the foregoing, maxyourgame.com grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials.

q.    Conduct your own contests and promotions.

r.    Upload, post, email, otherwise transmit, or post links to any content regarding any raffle, contest or game requiring a fee by participants.

s.    Modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, link, display or in any way exploit any content from the Site, including, without limitation, by incorporating data from the Site into any e-mail or "white pages" products or web sites, whether browser-based, based on proprietary client-site applications, web-based, or otherwise.

t.    Sell, distribute, or make any commercial use of data obtained from the Site or make any other use of data from the Site in a manner which could be expected to offend the person for whom the data is relevant.

u.    Disrupt the normal flow of dialogue in a chat room, cause a screen to "scroll" faster than other users of the Site are able to type, or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges.

v.    Interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site.

w.    Intentionally or unintentionally violate any applicable local, state, national or international law, and any regulations having the force of law.

x.    Use the Site to sell, purchase, or offer to sell or purchase any registered or unregistered securities.

y.    Upload, post, email, otherwise transmit, or post links to any material that is false, misleading, or designed to manipulate any equity, security, or other market.

z.    Disobey any Owner employee or representative or interfere with any action by any Owner employee or representative to redress any violation of these Terms.
aa.    Access the Site after your account or access has been terminated by the Owner.
bb.    Fail to complete any transaction after submitting an order to purchase any goods or services from individual merchants in the Site or from any seller in the Site, subject to the individual merchant's or seller's terms and conditions governing such transactions.
cc.    Submit any order to purchase goods or services from individual merchants in the Site or from any seller in the Site where you do not intend to complete the transaction.
dd.    Purchase any goods or services that you are prohibited from purchasing or possessing by any law applicable to you in your jurisdiction. The responsibility for ensuring compliance with all such laws shall be the user's alone. By submitting an order to purchase goods or services, you represent and warrant that you have the legal right to purchase such goods or services.
ee.    Use any software deployed in connection with the Site to process data as a service to other entities without the express written consent of the Owner or the party from whom such software may be licensed.
ff.    Decompile, disassemble, modify, translate, adapt, reverse engineer, create derivative works from, or sublicense any software deployed in connection with the Site.
gg.    Advertise, offer for sale, or sell any item you are prohibited from advertising or selling by any applicable local, state, national, or international law, including regulations having the force of law.
hh.    Upload, post, email, otherwise transmit, or post links to any material, or act in any manner, that is offensive to the Owner or the spirit of these Terms.
ii.    Advertise, offer for sale, or sell any of the following items:
    •    Any firearms, explosives, or weapons.
    •    Any food that is not packaged or does not comply with all laws governing the sale of food to             consumers by commercial merchants.
    •    Any alcoholic beverages.
    •    Any tobacco products for human consumption, including, without limitation, cigarettes and cigars.
    •    Any items that are indecent or obscene, that are hateful or racially, sexually, ethnically or otherwise    objectionable, that contain child pornography, that are otherwise pornographic in nature, or are harmful     to minors.
    •    Any controlled substances or pharmaceuticals.
    •    Any items that are counterfeit or stolen.
    •    Any dangerous items.
    •    Any goods or services that do not, in fact, exist.
    •    Any registered or unregistered securities.
    •    Any items that violate or infringe the rights of other parties.
    •    Any items that you do not have the legal right to sell.
    •    Any items where paying the Owner any of the required transactional or listing fees would cause the    Owner to violate any law.

5.    Owner’s Rights.  You acknowledge and agree that the Owner may terminate your access to the Site, or to any of the products and services offered therein, should you fail to comply with the Terms or any other guidelines and rules published by the Owner.  Any such termination shall be in the Owner' sole discretion and may occur without prior notice, or any notice.  The Owner further reserves the right to terminate any user's access to the Site, or to any of the products and services offered therein, for any conduct that the Owner, in its sole discretion, believes is or may be directly or indirectly harmful to other users, to the Owner or its subsidiaries, affiliates, or business contractors, or to other third parties, or for any conduct that violates any local, state, federal, or foreign laws or regulations.  The Owner further reserves the right to terminate any user's access to Site, or to any of the products and services offered therein, for any reason or for no reason at all, in the Owner's sole discretion, without prior notice, or any notice.  The Owner does not discriminate on the basis of age, gender, race, ethnicity, nationality, religion, sexual orientation, or any other protected status.

You acknowledge and agree that the Owner and its designees shall have the right (but not the obligation), in their sole discretion, to refuse to publish, remove, or block access to any content that is available via the Site at any time, for any reason, or for no reason at all, with or without notice.  Without limitation the Owner and its designees shall have the right (but not the obligation), in their sole discretion, to refuse to publish, remove, or block access to any content that violates these Terms or is otherwise objectionable as determined by the Owner, in its sole discretion.  The Owner may also terminate access to, or membership in, the Site, or any portion thereof, for violating these Terms. You acknowledge and agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content. In this regard, you acknowledge that you may not rely on any content created by or obtained through the use of the Site, including without limitation, information posted on message boards.

You expressly acknowledge and agree that the Owner may preserve content and may also disclose content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms; (c) respond to claims that any content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of the Owner, its users and the public. You acknowledge and agree that the technical processing and transmission of the Site, including your content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. You further acknowledge and agree that other data collected and maintained by the Owner with regard to its users may be disclosed in accordance with the Owner's Privacy Policy which is available for viewing at http://www.maxyourgame.com/beta/en/privacy_policy/id/379.

6.    Registration and Account Creation.

a.    In order to access some features of the Site, you may have to create an account. You may never use another's account without permission. When creating your account, you must provide correct and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify maxyourgame.com immediately of any breach of security or unauthorized use of your account. Although maxyourgame.com will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of maxyourgame.com or others due to such unauthorized use.

b.    As part of the registration and account creation process necessary to obtain access to portions of the Site that require a fee or payment, you may be required to select a user ID and a password. You will provide maxyourgame.com with certain registration information, all of which must be accurate and updated. You shall not (i) select a user ID already used by another person; (ii) use a user ID in which another person has rights without such person's authorization; or (iii) use a user ID or password that maxyourgame.com, in its sole discretion, deems offensive or inappropriate. You shall be solely responsible for maintaining the confidentiality of your password. You shall immediately notify maxyourgame.com at webmaster@maxyourgame.com of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information. You are solely responsible for all usage or activity on your maxyourgame.com account, including but not limited to use of the account by any third party authorized by you to use your subscriber ID and password. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your account, in maxyourgame.com’s sole discretion, and maxyourgame.com may refer you to appropriate law enforcement agencies. You may terminate your account at any time by sending an e-mail webmaster@maxyourgame.com. Upon termination, you will receive an automated confirmation via e-mail that the request was received, and your account will be terminated within five (5) business days. You are responsible for all charges incurred up to the time the account is terminated.

7.    Fees and Payments.    Maxyourgame.com reserves the right at any time to charge fees for access to portions of the Site or the Site as a whole. If at any time maxyourgame.com requires a fee for portions of the Site or the Site as a whole, maxyourgame.com may require you to register and create an account.  In no event will you be charged for access to portions of the Site or to the Site unless maxyourgame.com obtains your prior agreement to pay such charges. You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred, including but not limited to charges for any products or Sites offered for sale through the Site by maxyourgame.com or by any other vendor or provider. All fees and charges shall be billed to you, and you shall be solely responsible for their payment. You shall pay all applicable taxes relating to the use of the Site through your account, and the purchase of any other products or Sites. Certain portions of the Site or the Site as a whole may require a prepaid fee ("Prepaid Fee"). The Prepaid Fee, and all taxes and other fees related thereto will be paid by you in advance. In no event will you receive any portions of the Site or the Site as a whole if a Prepaid Fee is required unless maxyourgame.com receives all fees and charges payable by you, including the Prepaid Fee.

8.    Changed Terms.   Maxyourgame.com shall have the right at any time to change or modify these Terms, or any part thereof, or to impose new conditions, including, but not limited to, adding fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by any means including, but not limited to, posting on maxyourgame.com, or by electronic or conventional mail, or by any other means by which users obtain notice thereof.  Any use of maxyourgame.com by a user after such notice shall be deemed to constitute acceptance by the user of such changes, modifications or additions.

9.    License. You acquire absolutely no rights or licenses in or to the Site and materials contained within the Site other than the limited right to utilize the Site in accordance with the Terms. Should you choose to download content from the Site, you must do so in accordance with the Terms.  Such download is licensed to you by maxyourgame.com ONLY for your own personal, noncommercial use in accordance with the Terms and does not transfer any other rights to you.

10.    Rights Reserved. All present and future rights in and to trade secrets, patents, copyrights, trademarks, Site marks, know-how and other proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Site (the "Intellectual Property Rights") shall, as between you and maxyourgame.com, at all times be and remain the sole and exclusive property of maxyourgame.com. All present and future rights in and title to the Site (including the right to exploit the Site and any portions of the Site over any present or future technology) are reserved to maxyourgame.com for its exclusive use. Except as specifically permitted by the Terms, you may not copy or make any use of the Site or any portion thereof.  Except as specifically permitted herein, you shall not use maxyourgame.com's Intellectual Property Rights or the Site, or the names of any individual participant in, or contributor to, the Site, or any variations or derivatives thereof, for any purpose, without maxyourgame.com's prior written approval.  All other trademarks appearing on maxyourgame.com are the property of their respective owners.

11.    Disclaimer and Limitation of Liability.

a.    You agree that your use of the Site is at your sole risk and acknowledge that the Site and         anything contained therein, including, but not limited to, content, services, goods or advertisements (the "Items") are provided "AS IS" and that maxyourgame.com makes no warranty of any kind, express or implied, as to the Items, including, but not limited to, merchantability, infringement, title or fitness for a particular purpose or use. Maxyourgame.com does not warrant that the Site is compatible with your equipment or that the Site is free of errors or viruses, worms or "Trojan horses" and is not liable for any damage you may suffer as a result of such destructive features. You agree that maxyourgame.com, its Suppliers and its third-party agents shall have no responsibility or liability for (i) any injury or damages, whether caused by the negligence of maxyourgame.com, its employees, subcontractors, agents, Suppliers or otherwise arising in connection with the Site and shall not be liable for any lost profits, losses, punitive, incidental or consequential damages or any claim against maxyourgame.com by any other party or (ii) any fault, inaccuracy, omission, delay or any other failure in the Site caused by your computer equipment or arising from your use of the Site on such equipment. Maxyourgame.com is also not responsible for the reliability or continued availability of the telephone lines and equipment you use to access the Site. b.     You acknowledge that (i) the Site is provided for information purposes only, (ii) the Site includes information taken from the Golf Channel, the PGA Tour and other sources, (iii) maxyourgame.com does not guarantee the sequence, accuracy, completeness or timeliness of the Site and (iv) the provision of certain parts of the Site is subject to the terms and conditions of other agreements to which maxyourgame.com is a party. Accordingly, anything to the contrary herein set forth notwithstanding, maxyourgame.com, its officers and employees, parent, affiliates, subsidiaries, successors and assigns, Suppliers and its third-party agents shall not, directly or indirectly, be liable, in any way, to you or any other person for any: (i)inaccuracies or errors in or omissions from the Site including, but not limited to, sports news and information; (ii)delays, errors or interruptions in the transmission or delivery of the Site; or (iii)loss or damage arising therefrom or occasioned thereby, or by any reason of nonperformance.

c.    UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL MAXYOURGAME.COM, ITS SUPPLIERS AND ITS THIRD-PARTY AGENTS BE LIABLE TO YOU FOR DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES EVEN IF A MAXYOURGAME.COM AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED SPECIFICALLY OF THE POSSIBILITY OF SUCH DAMAGES, ARISING FROM USE OF OR INABILITY TO USE THE SITE OR ANY LINKS OR ITEMS ON THE SITE OR ANY PROVISION OF THE TERMS, SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. 12.    Indemnification. You agree, at your own expense, to indemnify, defend and hold harmless maxyourgame.com and its employees, representatives, Suppliers and agents, against any claim, suit, action or other proceeding brought against maxyourgame.com, its employees, representatives, Suppliers and agents, by a third party, arising out of content you submit, post to or transmit through the Site, your use of the Site, your connection to the Site, your violation of the Terms, or your violation of any rights of another. You agree to pay any and all costs, damages and expenses, including, but not limited to, reasonable attorneys' fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action or proceeding attributable to any such claim.

13.    Termination.  Either you or maxyourgame.com may terminate the Terms with or without cause at any time and such termination shall be effective immediately. You may terminate the Terms by discontinuing use of the Site and destroying all materials obtained from the Site. These Terms will terminate immediately without notice from maxyourgame.com if you, in maxyourgame.com 's sole discretion, fail to comply with any provision of these Terms. Upon termination by you or upon notice of termination by maxyourgame.com, you must destroy promptly all materials obtained from the Site and any copies thereof.   All provisions of these Terms, which by their nature extend beyond its termination, shall remain in effect beyond the termination of the Terms.

14.    Third Party Content.   These Terms apply to all users of the maxyourgame.com, including users who are also contributors of video content, information, and other materials or services on the Site. The Site may contain links to third party websites that are not owned or controlled by maxyourgame.com.  Maxyourgame.com has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites.  In addition, maxyourgame.com will not and cannot censor or edit the content of any third-party site.  By using the Site, you expressly relieve maxyourgame.com from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you leave the maxyourgame.com and to read the terms and conditions and privacy policy of each other website that you visit.

15.    Governing Law. These Terms shall be governed and construed in accordance with the laws of the United States and the State of Delaware, without giving effect to conflicts-of-law principles thereof. You agree to submit to the personal jurisdiction of the state and federal courts located in Orange County in the State of Delaware with respect to any legal proceedings that may arise in connection with the Site or from a dispute as to the interpretation or breach of the Terms.   In addition to any other relief awarded, the prevailing party in any action arising out of these terms shall be entitled to its reasonable attorneys’ fees and court costs.

16.    International Use. Maxyourgame.com does not represent that materials in the Site are appropriate or available for use in countries outside the United States.  If you choose to access the Site from outside the United States, you are responsible for compliance with foreign and local laws.  Software from the Site is further subject to United States export controls and may not be downloaded, exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, Sudan, or any other country to which the U.S. has embargoed goods or (ii) to anyone on the U.S. Treasury Department's Table of Deny Orders.  By using the Site, you represent and warrant that you are not located in, controlled by or a national or resident of any such country or on any such list.

17.    Miscellaneous. You accept that maxyourgame.com has the right to change the content or technical specifications of any aspect of the Site at any time at maxyourgame.com's sole discretion. You further accept that such changes may result in your being unable to access the Site.

18.    Entire Agreement.  These Terms and any other terms and conditions of the Site, constitute the entire agreement between you and maxyourgame.com and govern your use of the Site.

19.    Copyright and Copyright Agent. Maxyourgame.com respects the rights of all copyright holders and in this regard, maxyourgame.com has adopted and implemented a policy that provides for the termination in appropriate circumstances of users and account holders who infringe the rights of copyright holders. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide maxyourgame.com's Copyright Agent the following information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. §512: A. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; 2.
